1. Contract formation, definitions, and scope
These terms are intended exclusively for businesses and their authorized representatives. They become contractual when incorporated into an order form, accepted proposal, subscription process, or other agreement with the MapMyStaff provider identified in the order. Simply browsing the public website does not constitute acceptance of a subscription.
“Customer” means the business identified in the order; “Service” means the MapMyStaff platform and the selected modules and services; “Order” means the accepted commercial document; “Documentation” means the guides, policies, and descriptions applicable to the Service.
2. Service, modules, implementation, and configuration
MapMyStaff provides the functions and services identified in the Order. Modules, options, usage limits, and implementation services vary according to the selected offering. The Customer provides in a timely manner the data, decisions, access, and responsible persons required for implementation.
The Customer remains responsible for validating its commercial rules, territories, schedules, absences, qualifications, durations, pricing, taxes, promotions, booking models, communications, and permissions before production use.
3. Accounts, administrators, and authorized users
The Customer designates its administrators and controls user access. It must provide accurate information, protect credentials, apply appropriate permissions, and promptly notify MapMyStaff of unauthorized access or a change in role.
The Customer is responsible for activities performed through its accounts, except to the extent they result directly from a failure attributable to MapMyStaff.
4. Subscription, pricing, taxes, renewal, and payment
The Order states the package, modules, options, number of included members, term, billing frequency, renewal, applicable fees, and cancellation conditions. Taxes are added when payable.
Mandatory recurring or usage-based fees must be disclosed before acceptance. No additional fee is payable solely because it appears in documentation issued after the Order. Unless required by law or otherwise stated in the Order, amounts paid are non-refundable. A payment default may result in a proportionate suspension after reasonable notice when circumstances permit.
5. Acceptable use and Customer obligations
The Customer uses the Service lawfully and in accordance with the Order and Documentation. It must not circumvent security, disrupt the Service, access data without authorization, introduce harmful code, resell the Service without authorization, or use it to infringe a third party’s rights.
The Customer is responsible for the legality of its data, offers, pricing, promotional programs, communications, and the consents required from employees, customers, and recipients. In particular, it must comply with applicable rules governing electronic messages and personal information.
6. Availability, pricing, routes, communications, and results
Availability, assignments, pricing, travel fees, routes, schedules, alerts, surveys, financial indicators, and scenarios depend on available data, Customer configuration, third-party services, and actual field conditions. They are operational and decision-support tools.
MapMyStaff does not guarantee a perfect route, the absence of delays, delivery of every message, correct pricing when Customer data or rules are inaccurate, or any commercial, financial, or retention result. The Customer must exercise reasonable judgment and verify important decisions before acting.
7. Customer Data and personal information
The Customer retains its rights in its data. It grants MapMyStaff the limited rights necessary to host, process, transmit, back up, secure, and use that data to provide the Service, comply with law, and improve the Service using aggregated or de-identified data.
The Customer determines the purposes for processing information about its employees and end customers and confirms that it has the required authorizations or other legal bases. The Privacy Policy and, when entered into, the data-processing addendum supplement this section.
8. Confidentiality, security, and incidents
Each party protects the other party’s confidential information and uses it only to perform the agreement. MapMyStaff maintains reasonable administrative, technical, and organizational measures according to the nature of the data and known risks. No measure can guarantee absolute security.
The Customer must secure its devices, accounts, permissions, and access methods. MapMyStaff handles privacy incidents and provides notices required by law and applicable written commitments. No certification, particular standard, or specific architecture is guaranteed unless expressly stated in the Order or another applicable contractual document.
9. Third-party services, maps, and communications
The Service may depend on providers of hosting, mapping, routing, email, payment, authentication, and other specialized services. MapMyStaff may replace a provider when reasonably necessary, provided it maintains appropriate protections and does not materially reduce the essential paid functions during the current term.
Mapping and travel estimates may differ from actual conditions. Delivery of emails, messages, or notifications also depends on networks, devices, filters, and contact information provided by the Customer or recipients.
10. Availability, maintenance, changes, and support
Availability commitments, support hours, response times, and assistance services are only those stated in the Order, an SLA, or a support policy incorporated into the contract. Without such a commitment, MapMyStaff provides commercially reasonable support without guaranteeing a specific response time.
Interruptions may occur for maintenance, security, an incident, force majeure, or a third-party failure. MapMyStaff may evolve the Service, but must not materially reduce the essential paid functions during the current term except when required by law, security, or a third-party service beyond its control.
11. Intellectual property and feedback
MapMyStaff retains all rights in the platform, its code, methods, documentation, trademarks, and improvements. The Customer retains its rights in its data, content, and trademarks.
The Customer may provide feedback. MapMyStaff may use it to improve the Service without disclosing the Customer’s confidential information and without acquiring ownership of its data.
12. Suspension, term, termination, export, and deletion
The initial term, renewal, and termination rights are stated in the Order. Either party may terminate for a material breach that is not cured within a reasonable time after notice. MapMyStaff may suspend all or part of the Service for a serious security risk, unlawful use, significant payment default, or material violation, while limiting the suspension to what is reasonably necessary.
The Customer must request and verify its exports before the subscription ends. Available formats, any post-termination recovery period, and the deletion schedule are those stated in the Order, the data-processing addendum, or the applicable retention policy. Backups may be deleted on a normal cycle, and data may be retained when required by law.
13. Warranties, exclusions, claims, and limitation of liability
MapMyStaff provides the Service professionally and substantially in accordance with the applicable Documentation. Subject to mandatory warranties, the Service is provided without any guarantee of commercial results, revenue, savings, absolute availability, complete absence of errors, or suitability for a particular Customer decision.
To the extent permitted by law, neither party is liable for indirect, consequential, or punitive damages, or for losses of profit, revenue, opportunity, or reputation that are not the direct and foreseeable consequence of a breach. Unless a different cap is stated in the Order, MapMyStaff’s cumulative liability arising from the Service is limited to the fees paid or payable for the Service during the twelve months preceding the event giving rise to liability.
These exclusions and this cap do not apply to liability that cannot be excluded or limited by law, including intentional or gross fault to the extent provided under applicable law. The Customer is responsible for third-party claims caused by its data, unlawful use of the Service, or infringement of a third party’s rights, subject to prompt notice and its reasonable control of the defence.
14. General provisions
Neither party is responsible for delay caused by an event reasonably beyond its control, except for payment obligations already due. Contractual notices are sent to the contact information stated in the Order. The Customer may not assign the agreement without reasonable consent, except as part of a reorganization or sale of its business that does not create increased risk.
If a provision is invalid, the remaining provisions remain effective, and the provision is interpreted or reduced to the extent necessary. The Order and incorporated documents constitute the entire agreement. Material changes to these terms generally apply at the next renewal, except where required by law or security, or expressly accepted.
The agreement is governed by the applicable laws of Quebec and Canada, without displacing mandatory rules. The French version is provided in accordance with requirements applicable to contracts of adhesion; another language may be chosen when the legal conditions are met. The competent courts of Quebec have jurisdiction, subject to any contrary mandatory rule.
